FSA Acquires Model License Agreements from VCX Software; Agreements Reflect Collaborative Industry Effort to Ease IP Licensing Process
SAN JOSE, Calif.—(BUSINESS WIRE)—May 25, 2005—
FSA, voice of the global fabless business model,
announces today it has acquired VCX Software Ltd.'s Model License
Agreements (MLAs), developed to create industry standard agreements
for the licensing, use and transfer of semiconductor intellectual
property (IP) between IP companies and their customers.
"The three-year work effort and countless contributed hours from
leading companies in the industry fully exposed the fact that
semiconductor innovation continues to be stifled because of the issues
and inefficiencies of the IP licensing process," said Andy Travers,
managing director of VCX Software. "We created a solution to improve
that process, while protecting and respecting the rights of both
supplier and customer."
VCX championed collaborative efforts of IP users and providers,
EDA companies, foundries and IP attorneys to increase agreement on
terms and conditions to reduce the time and expenses related to the
negotiation process. This input was translated into the initial MLA
forms and supporting documents.

Committee is establishing a working group to leverage this substantial
body of work and refine the MLAs for fabless companies and IP

FSA will provide the MLAs as a valuable information tool to
improve the efficiency of the IP licensing process for member
companies and their counsel. FSA will begin making the MLAs available
to its membership this fall.
